Salary: $210,000.00 to $250,000.00 per year

TRON’s legal department is looking for a high-performing Associate Attorney to join our team as Commercial Counsel. In this role, you will assume a wide range of responsibilities related to TRON’s commercial engagements, all of which will require critical thinking, innovation, and integrity. The Commercial Counsel is responsible for supporting multiple lines of business in the drafting and negotiation of various commercial agreements for TRON and their collaborators. We are looking for someone with a broad base of knowledge as it relates to blockchain technology, finance, and commercial services. We are seeking a business savvy attorney with impeccable attention to detail, high energy, strong project management skills, outstanding oral and written negotiation skills, and a desire to build the future of global finance.

What You’ll Own (Responsibilities)
Counsel for negotiation of commercial engagements with counterparties in the United States and abroad
Negotiation (both written and verbal) of a wide variety of commercial agreements regarding exchange listing, token sales, financing, advertising, professional services, event planning and data privacy agreements
Coordinate with cross-functional teams during contract drafting and contract review, acting as the key contact for the legal department by providing guidance to internal colleagues and external customers on commonly requested edits, non-standard terms, policies, questions, etc.
Review and revise complex, non-standard agreements to adhere to TRON’s standard policies and procedures
Draft bespoke commercial agreements which mitigate risk to the company while allowing the goals of the engagement to be clearly defined.
Manage workflow for contract review process for a variety of contract types, beginning with receipt of requests for contract creation through routing for signatures, and storage of the fully executed agreement in a shared database
Monitor shared mailboxes and respond to general legal inquiries
Execute adhoc assigned projects as determined by the needs of the legal department
Experience You’ll Need
4+ years of experience in practicing law (including the drafting and negotiation of commercial agreements), ideally in an in-house or corporate environment.
Writing samples which display that you are an articulate but concise writer.
JD and active good standing with at least one U.S. Bar Association.
JD/MBA, preferred, or JD with prior work/ study in blockchain, finance, compliance, or litigation preferred
Ability to manage and deliver on a diverse and complex workload while maintaining priorities and proactively anticipating issues; particularly in a fast-paced corporate setting
Must be a creative problem solver and capable project manager with an eye to best practices in legal operations and the ability to balance getting the deal done while protecting the company
Experience in oral negotiations, project management, risk awareness, and issue escalation
Strong business acumen with the ability to clearly recognize risk elements in business transactions, providing advice to operations teams in carrying out the terms of the contract, as needed
The ability to independently manage the contract signature process from start to finish
The ability to manage a contract database
The ability to work with colleagues in Finance to consistently review, submit and track the payment of invoices related to legal services
Experience with electronic signature software, e.g., ContractWorks, Docusign
Proficient in Word and Excel
